These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” “User”) and Fiber Technologies, Inc. (“Fiber,” “we,” “us,” “our”). These Terms govern your access to and use of Fiber’s websites, browser extensions, mobile applications, accounts, programs, incentives, and related services (collectively, the “Services”).
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
Account means a User account registered with Fiber.
Eligible Purchase means a transaction completed with a participating merchant for which Fiber receives verified purchase information or other confirmation as required under the merchant’s terms.
Cash-Back Reward means an amount earned by a User in connection with an Eligible Purchase, calculated in accordance with Section 4.
Preferred Token means the cryptocurrency selected by a User to receive Cash-Back Rewards in (e.g., SOL, USDC, BONK), subject to availability.
Fiber Points (“FP”) means non-transferable, non-crypto digital reward points issued by Fiber for use solely within the Services. FP have no cash value, are not blockchain-based, and are not redeemable for fiat currency or cryptocurrency.
Merchant means any participating affiliate, retailer, or partner integrated with the Services.
Reward Balance means the aggregate amount of Cash-Back Rewards and FP accrued and not yet withdrawn, used, or expired.
To use the Services, you must:
(a) be at least eighteen (18) years of age;
(b) have the legal capacity to enter into binding contracts;
(c) reside in a jurisdiction where the Services are made available;
(d) not be subject to sanctions or legal restrictions that would prohibit your participation; and
(e) satisfy any identity verification requirements we reasonably impose to comply with law.
We may suspend or deny access if we determine you are not eligible.
3.1 Merchant Reporting. When you complete a purchase with a participating Merchant, Fiber may receive a confirmation signal or transaction report indicating an Eligible Purchase. Fiber is not liable for any Merchant’s failure to provide accurate or timely reporting.
3.2 Reward Calculation. Upon receiving Merchant confirmation, Fiber calculates your Cash-Back Reward using the rate applicable at the time of purchase.
3.3 Reward Conversion. You may select a Preferred Token into which Cash-Back Rewards will be credited. Fiber will convert the reward amount into that asset and credit it to your Reward Balance.
3.4 Reward Availability. Rewards may be subject to clearance periods, refund windows, fraud checks, Merchant settlements, or minimum thresholds.
3.5 Transfers. Tokens held in your Reward Balance may be transferred to your connected wallet only when minimum withdrawal conditions are satisfied. Fiber may impose additional security or verification requirements prior to transfer.
4.1 Rates and Promotions. Cash-Back Reward rates vary by Merchant, category, promotional period, or User tier. Rates may be modified or discontinued at any time without notice, except as required by law.
4.2 Accrual. Cash-Back Rewards accrue only for Eligible Purchases properly tracked and confirmed by the Merchant. No reward accrues for transactions that are cancelled, refunded, disputed, untracked, or disqualified for any reason.
4.3 Clawbacks. Fiber may reverse, cancel, or debit Cash-Back Rewards if:
(a) the underlying purchase is reversed, refunded, or disputed;
(b) the Merchant revokes or fails to pay Fiber for the transaction;
(c) you engaged in fraud, abuse, or misuse of the Services; or
(d) required under applicable law.
4.4 Expiration. Fiber may impose expiration periods on unredeemed Cash-Back Rewards.
5.1 Nature of FP. FP are loyalty points issued by Fiber. FP:
(a) are not cryptocurrency;
(b) are not stored on any blockchain;
(c) have no monetary value;
(d) cannot be redeemed for fiat currency or cryptocurrency;
(e) cannot be bought, sold, traded, or transferred; and
(f) may be discontinued, modified, or voided by Fiber at any time.
5.2 Purpose. FP may be used for tiering, access to promotional opportunities, or other benefits designated by Fiber.
5.3 Expiration. FP may expire following periods of inactivity or upon termination of your Account.
6.1 No Investment Advice. Reward tokens may fluctuate in value. Fiber does not provide investment, legal, or tax advice. You bear all risks associated with token-denominated rewards.
6.2 Market and Network Risks. You acknowledge that:
(a) cryptocurrency networks may congest, fail, or fork;
(b) token values may sharply increase or decrease;
(c) network fees may apply; and
(d) delays or errors may occur in transmission or settlement.
6.3 Custody. Until withdrawal, token-based rewards may be custodied by Fiber or a designated service provider. After withdrawal to your wallet, you are solely responsible for custody and security.
7.1 Fiber does not guarantee the availability of any Merchant, the accuracy of Merchant-provided data, or the continued existence of any promotional rate. Merchant participation may be modified or discontinued at any time.
7.2 Fiber is not responsible for any Merchant’s actions, omissions, products, or services, including delivery, pricing, refunds, or customer service issues.
8. User Obligations
You agree not to:
(a) engage in fraudulent purchase behavior, self-referrals, or manipulation of tracking systems;
(b) use the Services for commercial aggregation, scraping, or affiliate exploitation;
(c) misrepresent identity or location;
(d) attempt to circumvent eligibility rules;
(e) use VPNs or anonymization tools to access prohibited jurisdictions; or
(f) interfere with or disrupt the Services.
Violation of this Section may result in termination under Section 11.
Fiber may charge fees for:
(a) token withdrawals;
(b) network fees or on-chain transfer costs;
(c) currency conversion;
(d) account services; and
(e) third-party services integrated into the platform.
Fees will be disclosed within the Services.
10. Taxes
You are solely responsible for determining, reporting, and paying all taxes applicable to your use of the Services, including taxes on Cash-Back Rewards or token transactions. Fiber does not provide tax forms unless required by law.
11.1 Suspension. Fiber may suspend your Account immediately if we suspect fraud, abuse, illegal activity, or security risks.
11.2 Termination by Fiber. Fiber may terminate your Account at any time for:
(a) violation of these Terms;
(b) regulatory requirements;
(c) Merchant or partner request; or
(d) discontinuation of the Services.
11.3 Effect of Termination. Upon termination, any unredeemed Cash-Back Rewards or FP may be forfeited at Fiber’s discretion, except as required by law.
Fiber may modify, suspend, or discontinue any portion of the Services, including reward structures, available tokens, Merchant participation, or FP programs. Continued use constitutes acceptance of modifications.
The Services are provided “as is” and “as available,” without warranties of any kind. Fiber disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation.
Fiber is not responsible for:
(a) Merchant errors or omissions;
(b) failed or delayed Merchant reporting;
(c) network outages or blockchain failures;
(d) lost or inaccessible tokens;
(e) incorrect wallet addresses provided by the User;
(f) data breaches beyond Fiber’s reasonable control; or
(g) fluctuations in token prices.
To the maximum extent permitted by law:
(a) Fiber shall not be liable for indirect, consequential, exemplary, punitive, or special damages;
(b) Fiber’s total liability shall not exceed the value of Cash-Back Rewards earned by you during the twelve (12) months preceding the claim; and
(c) you waive any right to participate in class-action claims.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms shall be resolved exclusively through binding arbitration administered by the American Arbitration Association, conducted on an individual basis. You waive your right to litigate in court or participate in class actions.
The seat of arbitration shall be Delaware.
16.1 Assignment. Fiber may assign these Terms without notice. You may not assign your rights or obligations without Fiber’s written consent.
16.2 Severability. If any provision is found unenforceable, the remaining provisions shall remain in full force.
16.3 Entire Agreement. These Terms constitute the entire agreement between you and Fiber concerning the Services.
16.4 Notices. Fiber may provide notices by email, in-app messages, or posting within the Services.
